Wendy's Independent Committee Rejects $7.35 Cash Takeover Bid From Trian-Led Group
The Dublin-based restaurant operator also adopted a one-year shareholder rights plan after the investor group rejected a standstill offer.
Dublin, Ohio-based restaurant operator The Wendy's Company announced Nov. 5 that its board's Independent Committee unanimously rejected an unsolicited, non-binding cash takeover proposal of $7.35 per share from an investor group led by Trian Fund Management, L.P. According to Wendy's Nov. 5 Form 8-K filing, the investor group made the unsolicited proposal on Oct. 28, 2026. The Independent Committee evaluated the bid with independent financial and legal advisors and determined that the proposal substantially undervalues the company and is not in the best interests of Wendy's or its shareholders.
In response to the proposal, the Wendy's board of directors adopted a stockholder rights plan on Nov. 4, 2026, with directors affiliated with Trian excluded from the vote. In adopting the rights plan, the board considered that the investor group rejected an offer from the company to enter into a customary standstill agreement. The rights plan is effective immediately and has a one-year duration expiring Nov. 3, 2027, though the board may consider an earlier termination as circumstances warrant. Under the plan, Wendy's will issue one right for each share of common stock held at the close of business on Nov. 16, 2026. The rights will become exercisable if a person or group acquires beneficial ownership of 15% or more of Wendy's outstanding common stock without board approval, while existing 15% holders are not Acquiring Persons unless they buy additional shares.
At the Nov. 4 meeting, the board also approved amendments to the executive severance policy and omnibus equity award plans. The amendments update the definition of 'Change in Control' under the omnibus plans to eliminate the exclusion for specified corporate transactions involving Nelson Peltz, Peter W. May, or any person controlled by either of them. The change eliminates the longstanding carve-out, meaning any successful takeover by Peltz, May, or their affiliates now triggers change-in-control protections for company executives.
Under the amended compensation policies, the board established an 18-month post-Change-in-Control protection period for covered executives. A resignation for good reason within 18 months following a change in control will be treated like a termination without cause for severance and equity treatment, providing salary continuation and annual cash incentive pay. Under the amendments, performance units convert to RSUs on a change in control at the greater of actual or target for uncompleted periods, with full acceleration on termination without Cause or resignation for Good Reason. Wendy's documented the rights plan and bid rejection in an 8-K filing on Nov. 5, 2026. The regulatory filing does not indicate whether the investor group has responded to the bid rejection.
